Terms and Conditions
These Terms and Conditions (“Terms”) govern the affiliate school partnership between [School Name] (“Affiliate School”) and Edwibo Academy (“EdWiBo”). By submitting an application to become an affiliate school, you agree to these Terms.
1. Application and Acceptance
1.1. Submission: The Affiliate School must submit a complete application, including all required supporting documents.
1.2. Evaluation: EdWiBo will review and evaluate the application based on its criteria and objectives.
1.3. Acceptance: EdWiBo will notify the Affiliate School of its decision. Acceptance into the affiliate program is at the sole discretion of EdWiBo.
2. Partnership Obligations
2.1. Commitment: The Affiliate School agrees to actively participate in the partnership and collaborate with EdWiBo in good faith.
2.2. Alignment: The Affiliate School will align its policies and practices with those of EdWiBo to ensure a cohesive relationship.
2.3. Resources: The Affiliate School will allocate necessary resources to support joint activities and initiatives.
3. Intellectual Property
3.1. Ownership: Each party retains ownership of its intellectual property. Any materials developed jointly will be co-owned unless otherwise agreed in writing.
3.2. Use: The Affiliate School may use EdWiBo’s name, logo, and materials only with prior written consent and in accordance with EdWiBo’s guidelines.
4. Confidentiality
4.1. Confidential Information: Both parties agree to keep all confidential information received from the other party secure and not to disclose it to any third party without prior written consent.
4.2. Exceptions: Confidential information does not include information that is publicly known, independently developed, or required to be disclosed by law.
5. Data Protection
5.1. Compliance: Both parties will comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR).
5.2. Data Sharing: The Affiliate School consents to the processing and sharing of its personal data as outlined in the Privacy Policy.
6. Termination
6.1. Termination by Either Party: Either party may terminate the partnership with 30 days’ written notice.
6.2. Termination for Cause: EdWiBo may terminate the partnership immediately if the Affiliate School breaches any material term of these Terms.
7. Liability
7.1. Limitation of Liability: Neither party will be liable for any indirect, incidental, or consequential damages arising out of the partnership.
7.2. Indemnification: The Affiliate School agrees to indemnify and hold EdWiBo harmless from any claims, losses, or damages arising from the Affiliate School’s breach of these Terms.
8. Governing Law and Dispute Resolution
8.1. Governing Law: These Terms are governed by and construed in accordance with the laws of Greece.
8.2. Dispute Resolution: Any disputes arising from these Terms will be resolved through mediation. If mediation fails, disputes will be subject to the exclusive jurisdiction of the courts of Greece.
9. Amendments
EdWiBo may amend these Terms from time to time. Any amendments will be communicated to the Affiliate School and will become effective upon acceptance by the Affiliate School.
10. Entire Agreement
These Terms constitute the entire agreement between the Affiliate School and EdWiBo regarding the partnership and supersede any prior agreements or understandings.
